Abstract

It is the increasing role of foreign institutional investors (FIIs) in the emerging economics that has made the concept of corporate governance a relevant issue today. In the increasing close interaction of the economies of different countries lies the process of globalization. The increasing concern of FII’s is that the enterprise in which they invest should not be effectively managed but should also observe the principle of corporate governance. The failure of corporate due lack of transparency, disclosure, and instances of falsification of accounts, and the effect of such undesirable practice in other companies has made this study the needful. The main objective of this study is to identify the role of corporate governance in Indian FMCG Sector particularly focusing on ITC Company, for this purpose data of last 3 years are taken as sample. The
study is based on secondary source of data which were collected from companies’ annual reports giving a separate chapter from corporate governance. This research paper mainly focus on SEBI 49 Clause of Corporate Governance with different committee recommendation on Corporate Governance.
